Non-Disclosure Agreement (NDA)
Lead Trade Network LLC
Effective Date: 22/3/2025
This Non-Disclosure Agreement (“Agreement”) is entered into between Lead Trade Network LLC, a Colorado-registered real estate referral company (“Company”), and the undersigned real estate professional or brokerage (“Recipient” or “Realtor”), collectively referred to as the “Parties,” for the purpose of protecting confidential information shared during the course of business.
1. Purpose
The purpose of this Agreement is to protect the Realtor’s private and professional information, which may include but is not limited to: contact details, real estate license credentials, marketing strategies, client information, performance metrics, and any proprietary business data shared with Lead Trade Network LLC.
2. Confidentiality Obligations
Lead Trade Network LLC agrees to:
- Treat all Realtor information as confidential and proprietary.
- Not disclose, share, sell, or distribute any of the Realtor’s contact details, personal or professional credentials, or business data to any third party, including other realtors, vendors, or agents within or outside the Lead Trade Network system.
- Not use the Realtor’s personal or business information for any purpose other than the fulfillment of the Referral Agreement and internal CRM/client servicing
3. Common Industry Issue Protection
The Company acknowledges that in the real estate referral business, there is a risk that sharing credentials with multiple parties may lead to:
- Unauthorized communication with the Realtor by other agents.
- Irritation, breach of trust, or disruption to the Realtor’s business.
Lead Trade Network LLC fully prohibits such behavior and enforces strict internal controls to ensure that no Realtor’s identity or details will be used or misused by any other realtor, partner, or internal representative.
4. Term
This Agreement will remain in effect:
- For the duration of the business relationship, and
- For a period of two (2) years following the termination of services or partnership.
5. Remedies
Any breach of this Agreement by the Company or its team will entitle the Realtor to:
- Seek immediate remedy including cease-and-desist orders,
- Claim damages and compensation for any harm caused by the breach,
- Terminate the partnership with no liability.
6. Governing Law
This Agreement shall be governed by the laws of the State of Colorado, USA.
7. Signatures
By signing below, both parties agree to the terms of this Non-Disclosure Agreement.
